OVERVIEW

Wei Jia was called to the English Bar in 2018 and to the Bruneian Bar in 2020 after completing her pupillage at the Firm. She specializes in a wide range of corporate, commercial and regulatory matters including employment, banking, funds and securities, competition, cybersecurity corporate and broadcasting law. Wei Jia’s transactional experience spans mergers and acquisitions, corporate finance, and capital markets, where she has successfully advised clients on complex legal matters and high-value transactions.

Additionally, her prior experience in general litigation, including assisting with construction, employment, contractual, and landlord and tenancy matters and disputes, provides her with a deeper, more rounded perspective considering practical legal issues and risks when undertaking her commercial advisory work.

EXPERIENCE

  • Co-advised Hibiscus Petroleum Berhad on its acquisition of a 37.5% operating interest in Block B Maharajalela Jamalulalam (MLJ) field offshore Brunei from TotalEnergies EP (Brunei) BV.
  • Advised multinational clients on their global employee share offering initiatives (includes review of local supplement and subscription form in certain cases) for employees of the clients’ entities in Brunei from a regulatory perspective (securities and company law).
  • Advised an established service provider in the energy sector in Brunei with respect to a joint venture for a solar power project. Reviewed various documents including a joint venture agreement, land lease agreement and power purchase agreement and provided legal advice as well as highlighted practical considerations to take into account for negotiation of terms.
  • Advised various major international banks and financial service institutions on the marketing and provision of banking services and products as well as capital markets services and securities products to customers in Brunei. Drafted and updated practical guidelines and manuals to address whether certain activities are permitted or prohibited in Brunei.
  • Reviewed commercial agreements (including consignment and sales and distribution agreements) and advised various clients on compliance with Brunei competition law.
  • Completed transfer impact assessments to evaluate whether the legislation in Brunei might prevent the non-EU data importer from complying with EU General Data Protection Regulation requirements with respect to data transfers to Brunei.
  • Advised international clients intending to provide cybersecurity products and services in Brunei on the legal and regulatory requirements applicable. Advice provided includes whether more specific cybersecurity activities are permitted such as pre-breach planning, incident response, recovery, threat vulnerability management, exploitation testing, adversary simulations and hunting down threats.
  • Advised a global social media client on the legal and regulatory regimes in Brunei in connection with the provisions of non-fungible token services by social media platform users in Brunei.
  • Advised on potential legal and regulatory risks relevant to the launch of a client’s social media advertising services. The advice included considerations on industries which require labelling and certification, advertisement requirements and restrictions and prohibited or restricted products/services in Brunei. Additionally, the client’s policies as well as terms and conditions were reviewed from a Brunei law perspective and proposed amendments were made.
  • Advised and supported a major bank in Brunei in a high value financing transaction between the client and their corporate customer.
